Terms of Service

Section 01

Introduction & Agreement

These Master Terms of Service govern the relationship, expectations, and legal rights between Atarico ("we", "us", or "our") and our clients ("Client", "you", or "your"). By engaging our services, signing a project agreement, or accepting a quotation, you agree to comply with and be bound by these Terms.

Section 02

Scope of Services

Atarico provides technical development and design services, including Next.js web applications, e-commerce storefronts, custom backend configurations, and AI agent orchestrations.

Android-Only Mobile Focus: Please note that our mobile application development services are currently focused exclusively on **Android-only platforms** using React Native and Expo. Cross-platform iOS builds or support are not included unless explicitly agreed upon in a signed project addendum.

Section 03

Third-Party Services & Infrastructure Costs

Atarico is strictly a service provider. We **do not finance, purchase, or pay for** any external dependencies, third-party APIs, web/database hosting, domains, or software licenses on behalf of our clients.

  • Recommendations: We will provide a curated list of the top three industry-standard hosting or API options for your project.
  • Billing: The Client is solely responsible for choosing the service, setting up their billing account, and directly financing all third-party subscription fees.
Section 04

Client Responsibilities & Project Delays

The timely completion of the project depends on your active cooperation. You agree to provide:

  • Copywriting content, high-resolution logos, and design assets.
  • Necessary third-party API credentials, sandbox environment access, and database configurations.
  • Timely feedback, design approvals, and signing off on milestones.

Impact of Delays: Any delays in providing required assets, answers, or feedback will automatically extend all subsequent project milestones and delivery timelines by a corresponding duration.

Section 05

Project Changes & Scope Creep

Our deliverables are strictly limited to those defined in the approved project proposal or quotation. Any additional features, layouts, integrations, or modifications requested after project initiation constitute a change in scope. Such changes will require a revised proposal, pricing adjustment, and updated delivery timeline.

Section 06

Payment Terms & Service Suspension

Specific payment milestones are detailed in your project proposal. The following terms apply to all engagements:

  • Invoice Due Dates: All invoices are due within 7 calendar days of receipt.
  • Late Payments: Late payments may incur interest charges at a rate of 1.5% per month on outstanding balances.
  • Work Pause: Atarico reserves the right to suspend all development, staging, or support if any invoice remains unpaid past its due date.
Section 07

Delivery & Project Acceptance

Upon completion of a milestone or final build, we will deliver the project code or deploy it to a staging environment for your review. The Client has 7 calendar days to test the deliverables and report any issues in writing. If no issues are reported within 7 days of delivery, the project or milestone shall be deemed fully accepted.

Section 08

UI/UX Revision Policy

Design and UI/UX revisions are strictly limited to the number specified in the approved project proposal (typically 2 rounds of minor layout adjustments). Additional rounds of feedback, major redesigns, or changes requested after layout sign-off are outside the project scope and will be billed at our standard hourly rates.

Section 09

Warranty, Bug Fixes & Definitions

Atarico provides a **30-day bug-fixing warranty** starting on the date of project acceptance. During this period, we will resolve any code errors (bugs) at no additional charge.

Defining a Bug: A bug is defined as a code execution error where the website or application fails to perform as explicitly outlined in the original project proposal.

Defining a Feature: A feature is defined as any layout modification, additional database field, logic adjustment, or integration that was not explicitly requested or defined in the original project proposal. Features are not covered under the bug warranty.

Warranty Exclusions: This warranty does not cover issues caused by third-party API deprecations, browser updates, platform updates (e.g. Next.js major upgrades), hosting server changes, or modifications made to the source code by the Client or any third-party developers.

Section 10

Ongoing Maintenance & Support

Ongoing technical maintenance, hosting administration, database monitoring, server backups, security audits, and general support are separate services and are not included in the initial build project. These services must be negotiated under a separate monthly support retainer.

Section 11

Intellectual Property & Ownership Transfer

All source code, mockups, graphics, and technical specifications created for your project will remain the exclusive intellectual property of Atarico until all pending invoices and project fees are paid in full. Upon receipt of final payment, full ownership and rights to the custom source code and assets are transferred to the Client.

Section 12

Open Source Software Licenses

We leverage third-party open-source packages, libraries, and frameworks (such as Next.js, React, and Tailwind CSS) to deliver your project. Any open-source components included in the deliverables remain subject to the respective terms and conditions of their licenses (MIT, Apache, etc.).

Section 13

Confidentiality

Both parties agree to keep all proprietary information, business data, trade secrets, and codebase configurations confidential. Neither party shall disclose confidential project info to any third party without obtaining prior written consent.

Section 14

Portfolio & Marketing Rights

Unless explicitly agreed otherwise in a signed non-disclosure agreement (NDA) or project contract, Atarico reserves the right to display the completed work, screenshots, case studies, and code architectures in its design portfolio, website, and promotional materials.

Section 15

Limitation of Liability

Except where prohibited by applicable law, Atarico, its founder, team members, and contract collaborators **shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages**, including but not limited to:

  • Loss of business profits, revenue, data, goodwill, or operational efficiency.
  • Hosting server downtimes, database connection dropouts, API outages, rate limits, or deprecations of third-party systems.
  • Security incidents, unauthorized system intrusion, cyberattacks, or client-side operational mismanagement.

Except where prohibited by applicable law, our maximum aggregate liability for any single project or engagement, whether in contract, tort, or otherwise, shall never exceed the total amount actually paid by you to Atarico for that specific engagement.

Section 16

Force Majeure

Atarico will not be liable for any delay or failure to perform services resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, national power grid failures, global internet service provider outages, severe illness, government restrictions, or cyberattacks.

Section 17

Governing Law & Dispute Resolution

These Terms and any project-specific contracts are governed by and construed in accordance with the laws of India. Any litigation, arbitration, or legal proceeding arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of **Gujarat, India**.

Section 18

Changes to Terms

Atarico reserves the right to modify or replace these Terms of Service at any time. Standard project proposals will reference the Terms of Service version active at the time of agreement sign-off.
